Jonathan Gazdak: Alexander Capital Advisor Lands $1.6mm Complaint

A recent investor complaint against Red Bank, New Jersey financial advisor Jonathan Gazdak (CRD# 5678294) alleges that his conduct resulted in seven-figure damages. Financial Industry Regulatory Authority records show that he is registered as a broker with Alexander Capital.

Mr. Gazdak’s BrokerCheck report discloses two investor complaints. The most recent, filed in October 2024, alleges that as an Alexander Capital representative, he engaged in fraudulent inducement, breached his fiduciary duty, acted negligently, breached contract, and violated FINRA Rule 2010. The pending complaint alleges damages of $1,694,000.

In a statement included with the complaint’s disclosure, Mr. Gazdak defends himself against the allegations. “The claims against me are baseless,” he writes. “I was not the broker for any of the transactions at issue. Moreover, the claimants’ allegations are directly contradicted by their written affirmations and the market performance of the investments at issue. I will vigorously fight these claims in arbitration.”

A second investor complaint, filed in 2022, alleges that as an Alexander Capital representative, he committed fraud, violated the Investment Advisers Act, breached his fiduciary duty, converted funds, breached contract, and engaged in civil conspiracy. The pending investor complaint alleges unspecified damages.

“The allegations are false and the claims are without merit,” Mr. Gazdak writes in a statement included with the complaint’s disclosure. “This case involves a company that raised money from investors. Defaulted on its notes and the noteholders sued the company. Instead of taking responsibility for the notes that it willingly entered into, they had concocted allegations against myself and other individuals.”

According to the Financial Industry Regulatory Authority, Jonathan Gazdak holds 14 years of securities industry experience. Based in Red Bank, New Jersey, he has been registered as a broker with Alexander Capital since 2014. His past registrations include Network 1 Financial Securities, Aegis Capital, and Oppenheimer & Company. His credentials include the passage of four securities industry qualifying exams: the Investment Banking Registered Representative Examination or Series 79; the Securities Industry Essentials Examination, or SIE; the the General Securities Principal Examination, or Series 24; and the Uniform Securities Agent State Law Examination, or Series 63. He is licensed in California, Connecticut, Florida, Illinois, Kansas, New Jersey, and New York. (Information current as of December 15, 2024.)
